• You will use provider features only for professional purposes
• You will comply with all applicable laws and professional standards

4.2 Provider Responsibilities

Healthcare providers using NaviWell agree to:

• Maintain current professional licensure and credentials
• Use clinical tools as decision support, not as sole basis for medical decisions
• Verify all information and calculations independently

• Not share provider account access with unauthorized individuals

5. Intellectual Property

5.1 Ownership

All content, features, and functionality of NaviWell, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Operational Excellence Advisors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to access and use the Platform for your personal, non-commercial use. This license does not include any right to:

• Modify, copy, or distribute Platform content
• Reverse engineer or decompile any Platform software

You retain ownership of any content you submit to NaviWell (such as health information shared with the AI chat). However, by submitting content, you grant us a limited license to use, store, and process that content solely for the purpose of providing and improving our services.

You agree that any content you submit will not:

• Contain false, misleading, or defamatory information

Provider search functionality uses data from the National Provider Identifier (NPI) Registry, a public database maintained by CMS. We are not responsible for the accuracy or completeness of NPI Registry data.

8. Limitation of Liability

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

• Your use or inability to use the Platform
• Any unauthorized access to or use of our servers and/or any personal information stored therein

• Any bugs, viruses, or other harmful code that may be transmitted through the Platform
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content posted, emailed, transmitted, or otherwise made available through the Platform

8.3 Maximum Liability
